CleonPay is a trading name providing payment technology. These terms govern your use of the CleonPay website, dashboard, API and payment pages. By using CleonPay you agree to them.
CleonPay provides technology that lets businesses accept payments and send payouts through one integration.
CleonPay is a technology provider. It is not a bank and does not hold customer funds. Payment processing, settlement and the movement of money are carried out by regulated financial institutions.
In these terms "we", "us" and "our" mean CleonPay. "You" means the business or person using the service.
The dashboard and API are for businesses. You must give accurate information and keep it up to date.
You are responsible for your API keys, login details and everything done through your account. Keep your credentials secret and tell us at once if they are lost or misused.
You confirm that you have authority to accept these terms on behalf of your business.
You may use CleonPay only for lawful purposes and in line with these terms, our documentation, your merchant agreement and the rules of the payment schemes and financial institutions involved in a transaction.
You must not use CleonPay for any prohibited or illegal activity, including fraud, money laundering, terrorist financing, the sale of illegal goods or services, or any activity a scheme or partner prohibits.
We may apply limits, checks and controls to your account to manage risk and to meet our legal obligations.
When a customer pays through a CleonPay payment page, the purchase contract is between the customer and the merchant. CleonPay provides the technology that carries the payment.
Settlement of funds to a merchant is performed by that merchant's regulated financial institution, not by CleonPay.
You are responsible for the accuracy of the payout details you submit, including account numbers and recipient information. CleonPay is not liable for funds sent to details you provided incorrectly.
The timing of payments and payouts depends on the schemes, banks and partners involved and is not guaranteed.
Fees are those agreed with you during onboarding or set out in your merchant agreement. Where required, we will tell you before they change.
The sandbox is for testing only and does not move real money. It is provided as is and may change at any time.
You must not attempt to disrupt, reverse engineer, overload or gain unauthorised access to the service, or use it to store or transmit malicious code.
You must not misrepresent your business or the nature of your transactions.
CleonPay and all related software, designs, text and marks are owned by us or our licensors. We grant you a limited, non exclusive and non transferable right to use the service while these terms are in force. No other rights are granted.
We work to keep the service available but do not guarantee that it will be uninterrupted or error free, except as set out in a written agreement with you.
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud or for death or personal injury caused by negligence.
Subject to the above, CleonPay is not liable for indirect or consequential loss, loss of profit, loss of business, or loss or corruption of data.
Subject to the above, our total liability to you in connection with the service is limited to the fees you paid to CleonPay in the three months before the event giving rise to the claim.
CleonPay is not responsible for the acts or omissions of the banks, schemes and financial institutions that process and settle payments.
You will indemnify us against claims, losses, liabilities and costs arising from your breach of these terms, your misuse of the service, or your breach of law or scheme rules.
We may suspend or close an account, or hold or reverse a transaction, where we reasonably believe there is fraud, a legal or scheme requirement, a security risk, or a breach of these terms.
You may stop using the service at any time. Terms that by their nature should continue will survive termination, including those on liability, indemnity and intellectual property.
We may update these terms. The current version is always on this page. Continued use of the service after a change means you accept it.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless your merchant agreement states otherwise.
Questions about these terms can be sent to info@cleonpay.com.
If you are a customer who paid a merchant through a CleonPay payment page, your purchase contract is with that merchant. Please contact the merchant first, or email us with your payment reference.
